Terms of Service
Please read these Terms of Service carefully before using Sponif. By accessing or using the Service you agree to be bound by these Terms. If you do not agree, you may not use the Service.
1. Acceptance of Terms
By creating an account or otherwise using Sponif ("Service", "we", "our"), whether individually or on behalf of an organisation, you accept these Terms of Service ("Terms") in full. Use of the Service by an organisation constitutes acceptance on behalf of that organisation and the individual accepting warrants they have authority to do so.
2. Description of Service
Sponif is a cloud FinOps intelligence platform. It connects to your cloud provider accounts via read-only permissions, collects cost and usage metadata, and surfaces spend insights, budget alerts, and optimisation recommendations. The Service is provided on a subscription basis and does not modify, provision, or delete any cloud infrastructure on your behalf.
3. Subscription Plans and Billing
Subscriptions are billed monthly in advance in EUR. Prices are subject to applicable taxes in your jurisdiction. You may upgrade or downgrade your plan at any time; changes take effect at the start of the next billing cycle. No refunds are issued for partial billing periods. We reserve the right to change pricing upon 30 days' written notice.
4. Fair Use — Monthly Record Limits
To ensure service stability and long-term cost sustainability, each subscription plan includes a monthly limit on the number of cost and usage records (individual data points) that Sponif ingests and stores for your account.
These limits reflect typical usage patterns for the resource and spend volumes associated with each plan:
| Plan | Monthly Price | Monthly Record Limit | Notes |
|---|---|---|---|
| Starter | €19 | 300,000 | Up to 200 cloud resources |
| Basic | €49 | 1,200,000 | Up to 1,000 cloud resources |
| Pro | €159 | 7,000,000 | Up to 7,000 cloud resources |
| Scale | €499 | 50,000,000 | Up to 50,000 cloud resources |
These limits exist as a fair use policy. Accounts where a small number of highly active or noisy resources generate a disproportionate volume of records — relative to the plan's resource and spend ceilings — place a cost burden on the service that is not reflected in the subscription fee.
Sponif reserves the right to suspend data ingestion for an account whenever the monthly record count exceeds the limit of the subscribed plan. In practice, Sponif will apply a graduated response: (a) throttle new ingestion for the remainder of the billing period; (b) notify you and recommend a plan upgrade; or (c) in persistent cases, suspend ingestion entirely until the next billing cycle. Historical data already ingested will not be deleted solely as a result of exceeding the record limit.
Note: If your workload legitimately exceeds the Scale plan limits, please contact us to discuss a custom arrangement.
5. Service Availability
Sponif is provided on a best-effort basis. No Service Level Agreement (SLA) is offered and no specific uptime, availability, or response-time guarantees are made. Planned and unplanned maintenance may result in temporary unavailability. We will make reasonable efforts to provide advance notice of planned downtime.
6. Support
Sponif is an independent, solo-developer project maintained during limited spare time. Support is provided on a best-effort basis through the available channels (email and in-app). There are no guaranteed response times and no commitment to resolve any issue within a specific timeframe.
Critical issues affecting data integrity or service access will be prioritised and addressed as promptly as reasonably possible given the developer's availability. By subscribing, you acknowledge and accept these support constraints.
Sponif’s infrastructure is hosted on Microsoft Azure with redundant deployment. Cost data aggregations are fully automated — designed to process and retain data reliably without manual intervention. This architecture ensures that the service can operate at scale while being maintained by a single developer.
Scale plan: Scale plan subscribers receive priority email support. While this does not constitute a formal SLA with guaranteed response times, Scale customer requests are handled before those of lower-tier plans, and the developer commits to providing a substantive initial response to critical issues as quickly as reasonably possible.
7. Data Handling
Sponif stores cost and usage metadata fetched from your cloud provider APIs. No credentials, secrets, private keys, or sensitive configuration data are stored by the Service. Cloud access relies exclusively on scoped, read-only permissions (e.g. IAM roles) that you provision and can revoke at any time.
In the event of a data loss or corruption incident, Sponif will make reasonable efforts to notify affected users promptly, but cannot guarantee complete data recovery. Please refer to the Privacy Policy for full details on data processing and retention.
Some cost and usage data collected by Sponif may be marked as estimated (via the FOCUS 1.2 IsEstimated field or equivalent provider signals). This occurs when a cloud provider has not yet finalized billing for a given period and supplies projected figures instead. All data provided by Sponif — whether estimated or confirmed — is for informational and analytical purposes only. It does not constitute a tax invoice, a legally binding billing statement, or a substitute for the official invoices issued directly by your cloud providers.
8. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. In particular, Sponif does not warrant that:
- The Service will be error-free, uninterrupted, or free of security vulnerabilities;
- Cost data, spend alerts, or optimisation recommendations will be accurate, complete, or suitable for your specific business purposes;
- Bugs, errors, or defects will be identified or corrected within any specific timeframe;
- The Service will meet any particular performance or quality standard.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Sponif and its developer shall not be liable for any of the following, regardless of whether they arise in contract, tort (including negligence), or otherwise:
- Any direct, indirect, incidental, special, or consequential damages arising from use of or inability to use the Service;
- Loss or corruption of data;
- Financial, operational, or strategic decisions made based on data, alerts, or recommendations provided by the Service;
- Business interruptions, lost revenue, or lost profits.
In no event shall Sponif's total cumulative liability exceed the total amount paid by you for the Service in the three (3) calendar months immediately preceding the event giving rise to the claim.
10. Modifications to Terms and Service
Sponif reserves the right to modify these Terms or the features and pricing of the Service at any time. Material changes will be communicated via email or in-app notification at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
11. Termination
You may cancel your subscription at any time. Upon cancellation, your access continues until the end of the current billing period; no partial-period refunds are issued. Sponif reserves the right to suspend or terminate accounts that violate these Terms, with or without prior notice depending on the severity of the violation.
12. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of Italy, without regard to its conflict-of-law provisions. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Italy.
